Terms of Service

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you ("you", "Artist", or "User") and Track Riot LLC, a Pennsylvania limited liability company ("TrackRiot", "we", "us"). By creating an account or using our services at trackriot.com (the "Service"), you agree to these Terms. If you don't agree, do not use the Service.

2. The Service

TrackRiot provides digital music distribution: we deliver your sound recordings and associated metadata to third-party digital service providers ("DSPs") such as Spotify, Apple Music, Amazon Music, TikTok, YouTube Music, and others. Availability of any particular DSP, store, or territory is not guaranteed and may change.

3. Eligibility & accounts

You must be at least 18 years old, or have verifiable parental or legal-guardian consent, to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4. Your content & rights

You retain 100% ownership of your sound recordings, compositions, cover artwork, and other content you upload ("Your Content"). By using the Service, you grant TrackRiot a non-exclusive, worldwide, royalty-free license to host, reproduce, transmit, and distribute Your Content to DSPs solely for the purpose of providing the Service. This license ends when you take down a release, except to the extent third-party DSPs retain cached or archival copies.

You represent and warrant that (a) you own or control all rights in Your Content, including all underlying compositions, samples, and features; (b) Your Content does not infringe any third party's rights; and (c) all metadata you submit is accurate.

5. Royalties & payouts

TrackRiot pays out 100% of net royalties received from DSPs for Your Content, subject to any chargebacks, fraud holds, refunds, or deductions imposed by DSPs or payment processors. Royalties are paid in U.S. dollars and may be subject to minimum payout thresholds and applicable taxes and withholding. You are solely responsible for reporting and paying any taxes due on income you receive through the Service.

6. Fees & subscriptions

Use of the Service requires an active paid subscription. Fees are charged in advance on the stated billing cycle and are non-refundable except where required by law. We may change pricing with reasonable notice; changes will apply to renewals after the notice period. If your subscription lapses, your releases may be taken down from DSPs.

7. Prohibited use

You agree not to: (a) upload content you don't have the rights to distribute; (b) engage in streaming fraud, artificial streams, bot activity, or any manipulation of DSP charts or royalties; (c) upload illegal, hateful, or infringing content; (d) misrepresent your identity, artist name, or rights ownership; (e) attempt to reverse engineer, scrape, or disrupt the Service. Violations may result in immediate termination and withholding of unpaid royalties tied to the fraudulent activity.

8. Takedowns & DMCA

We respond to valid notices of alleged copyright infringement under the U.S. Digital Millennium Copyright Act (DMCA). Send notices to info@trackriot.com. We may remove content and terminate repeat infringers. You may request takedown of your own releases at any time from your dashboard; takedowns typically propagate to DSPs within several days.

9. Termination

You may close your account at any time. We may suspend or terminate your account if you breach these Terms, engage in fraud, or if required by law. On termination, Your Content may be removed from DSPs and access to the Service revoked. Sections that by their nature should survive (ownership, indemnity, liability, dispute resolution) survive termination.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted access, placement on any DSP, or any specific level of streams, sales, or revenue.

11. Limitation of liability

To the maximum extent permitted by law, TrackRiot will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) amounts you paid TrackRiot in the 12 months before the claim, or (b) USD $100.

12. Indemnification

You agree to indemnify and hold harmless Track Riot LLC, its affiliates, and their officers, employees, and agents from any claim, demand, loss, or damages, including reasonable attorneys' fees, arising out of Your Content, your use of the Service, or your breach of these Terms.

13. Governing law & disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to its conflict-of-laws principles. Any dispute will be brought exclusively in the state or federal courts located in Pennsylvania, and you consent to personal jurisdiction there.

14. Changes

We may update these Terms from time to time. Material changes will be communicated by email or in-product notice. Continued use of the Service after changes take effect constitutes acceptance.
